Changing Investing Entities

Are you thinking of changing your investing entity or structure?
Please contact us to check in before you make any changes.

Each syndicate has its own governance structure. How changes to the ownership are managed will be determined by the company constitution or limited partnership agreement. Our team are here to help by providing you with information on which changes are permitted, which changes will require board approval, and which changes are not permitted in line with the governing documentation. We can also explain what will be required before you commit to any restructuring.

If you are considering a change, here are some things to consider:
  • Why are you making the change? Have you received professional advice on how the transfer of property will impact your income, tax position or estate planning?
  • Nearly all transfers require supporting documentation such as Share Transfer Forms and documentation recording how the transaction will be treated (such as a Deed of Gift).
  • Most syndicates allow for related party transfers (for example, from a family trust where you are the main beneficiary to your personal name).
  • Mackersy Property will need to onboard the ‘new’ investor in line with the Financial Markets Conduct Act 2013 (“FMCA”) and Anti-Money Laundering and Countering Financing of Terrorism Act 2009 (“AML/CFT”).
  • Any distributions will need to be redirected to a bank account in the name of the ‘new’ investor.
  • Mackersy Property will complete the necessary updating and reporting to enable the changes to take effect.
